Terms of Service
Please read these terms carefully before using our penetration testing services.

1. Acceptance of Terms
By accessing or using StealthNet AI's website, platform, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
StealthNet AI provides AI-powered and human-led penetration testing services, including but not limited to web application testing, API testing, external network testing, vishing (voice phishing) assessments, and dark web monitoring. Our services combine autonomous AI agents with expert human validation to identify security vulnerabilities in your systems, networks, and applications.
Service delivery models include AI-only testing, hybrid (AI + human) testing, and fully manual testing, as agreed upon in the applicable statement of work or service agreement.
3. Authorization and Scope
You represent and warrant that you have proper legal authorization to conduct penetration testing on all systems, networks, applications, and assets included in the agreed-upon scope of work. You are solely responsible for obtaining all necessary permissions and consents before testing begins.
Unauthorized testing of systems you do not own or do not have explicit written permission to test is strictly prohibited. StealthNet AI shall not be held liable for any consequences arising from unauthorized testing initiated by the client.
Any testing performed outside the agreed-upon scope must be authorized in writing prior to execution.
4. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the engagement. This includes, but is not limited to, penetration testing findings, vulnerability reports, system configurations, and business information.
StealthNet AI will not disclose your test results, reports, or any related materials to any third party without your prior written consent, except as required by law.
Confidentiality obligations survive the termination of any service agreement for a period of three (3) years, unless otherwise specified in a separate non-disclosure agreement.
5. Payment Terms
Fees for our Services are set forth in the applicable service agreement, statement of work, or order form. Unless otherwise specified, all fees are due within thirty (30) days of invoice date.
Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. StealthNet AI reserves the right to suspend or terminate Services for accounts with outstanding balances exceeding sixty (60) days past due.
All fees are exclusive of applicable taxes, which are your responsibility unless you provide a valid tax exemption certificate.
6. Intellectual Property
All methodologies, tools, software, AI models, and proprietary technologies used by StealthNet AI in the delivery of Services remain the exclusive property of StealthNet AI. Nothing in these Terms grants you any rights to StealthNet AI's intellectual property.
Upon payment in full, you receive a non-exclusive, non-transferable license to use the deliverables (reports, findings, and recommendations) produced during your engagement for your internal business purposes only.
You may not redistribute, resell, or publicly disclose StealthNet AI's reports or methodologies without prior written consent.
7. Limitation of Liability
To the maximum extent permitted by applicable law, StealthNet AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, whether incurred directly or indirectly, regardless of the theory of liability.
StealthNet AI's total aggregate liability arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to StealthNet AI during the twelve (12) months preceding the claim.
Penetration testing inherently involves interacting with live systems. While StealthNet AI takes reasonable precautions to minimize disruption, you acknowledge that testing may, in rare cases, cause temporary service interruptions. StealthNet AI shall not be liable for any such interruptions that occur within the agreed-upon scope and rules of engagement.
8. Prohibited Uses
You agree not to use our Services to:
• Conduct testing on systems or networks you do not own or have authorization to test
• Violate any applicable laws, regulations, or third-party rights
• Attempt to reverse-engineer, decompile, or extract StealthNet AI's proprietary tools or AI models
• Use test results or vulnerabilities discovered during engagements for malicious purposes
• Resell, sublicense, or redistribute StealthNet AI's services without written authorization
• Misrepresent the nature of our engagement or use our name without consent
9. Indemnification
You agree to indemnify, defend, and hold harmless StealthNet AI, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your use of the Services; (c) your failure to obtain proper authorization for testing; or (d) any third-party claims related to your use of the Services.
10. Modifications and Termination
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Services after any modifications constitutes your acceptance of the updated Terms.
Either party may terminate a service engagement in accordance with the terms set forth in the applicable service agreement. Upon termination, all outstanding fees become immediately due and payable.
Sections relating to confidentiality, intellectual property, limitation of liability, and indemnification shall survive termination.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If the parties are unable to resolve the dispute within thirty (30) days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association.
